These terms apply to anyone who publishes a public class listing on Quorin or sells tickets or passes through it — called an organizer. An organizer is either a person who rents studio time to hold a class, or a studio that lists and runs its own classes. These terms sit alongside the Quorin SaaS Terms where a studio organizer already has a Quorin account; they do not replace a studio's separate renter-facing terms for room bookings.

These terms apply to the services Quorin makes available in supported locations in Canada and the United States. Availability may differ by location and offering. Mandatory local provisions apply where their legal conditions are met and prevail over inconsistent terms. The supplier's address alone does not determine every law applicable to a transaction.

The Studio SaaS Terms govern the studio's use of Quorin and the room-payment functions they describe. The Organizer Terms govern the organizer's class-selling functions, and the Customer Terms and transaction-specific disclosures govern the customer's class purchase. Quorin distinguishes the room booking from the attendee's class purchase; this distinction does not remove obligations that applicable law attaches to a linked or bundled offering. No document overrides a mandatory right.

Quorin provides software and the enabled booking and payment functions. The organizer authorizes Quorin to communicate its offering, issue confirmations and transaction documents on its behalf, and transmit payment and refund instructions within the enabled functions and the authority granted by the organizer and customer. This authority does not permit a prohibited charge, an unauthorized change to the offering or a waiver of mandatory rights. Quorin remains responsible for its own services, representations, conduct and obligations under applicable law.

When ticket payments are enabled, they are processed as Stripe Connect direct charges on the organizer's own connected account. Stripe's Connected Account Agreement applies to that account and is incorporated by reference. This routing does not determine every legal role or remove Quorin's own duties.

The organizer identified for an offering is the supplier of that offering and is responsible for its description, lawful sale and delivery, required qualifications and permits, customer obligations and refunds it owes. A studio that only hosts the class is not, for that reason alone, its supplier. The organizer must disclose its identity accurately before a customer contracts with it.

The listed ticket or pass price is the total price the customer pays, including applicable taxes and mandatory charges; no additional tax or mandatory booking fee is added at checkout. Prices, taxes and mandatory charges must also be disclosed as required by the law applicable to the offering. The supplier is responsible for its tax information and obligations; this does not displace any tax obligation imposed on Quorin. Any country-specific tax explanation applies only to the transactions it describes.

For Canadian transactions where the supplier is registered for GST/QST or HST, the receipt shows applicable taxes backed out of the all-in price and the supplier's registration numbers. A supplier not required to collect those taxes has no such tax line. These Canadian explanations do not describe U.S. tax treatment or promise automated support for every jurisdiction.

Quorin charges a fee of 5% of the ticket subtotal — the all-in price with the supplier's applicable taxes backed out — plus applicable taxes on Quorin's fee. For Canadian fee supplies, GST/QST/HST is calculated from the organizer's legal billing information. The fee is collected as a Stripe application fee when the customer payment is lawfully collected. Free classes carry no Quorin fee. The organizer pays Stripe's processing fees under its Stripe agreement; those fees are not returned on an ordinary refund. Quorin issues a monthly statement of fees already deducted.

The organizer must honor the following customer terms:

Before you confirm, the booking details must identify the supplier and describe the services covered, total price, payment amounts and dates, and applicable cancellation and refund terms. A booking confirmation does not necessarily mean the entire price is collected immediately.

For a single-date ticket sold under Quorin's Québec drop-in terms, you may cancel from your Quorin account until 24 hours before the session starts and receive a full refund of the amount paid, including taxes, within 15 days. After that time, contact the organizer; any refund is at the organizer's discretion, without limiting your rights under the law. A free registration for a single date may be cancelled from your Quorin account until the session starts. Otherwise, the supplier's disclosed policy applies subject to mandatory law. A booking cutoff, missed class or rule for releasing a reserved place does not remove a separate legal right to cancel or terminate a contract. Any legally required notice, cancellation method, refund calculation or deadline prevails over an inconsistent policy. A change to a published policy does not by itself change your existing contract.

If the organizer or hosting studio cancels a session, you are entitled to a full refund of the amount paid for that session, including applicable taxes. For a pass, this is the amount allocated to the cancelled session under the allocation disclosed for your purchase. Any additional refund or remedy required by applicable law remains available. Fees retained between the supplier, Quorin and payment providers do not reduce this promised refund or a refund required by law. Where a monetary refund is required, a credit is not a substitute unless a lawful alternative is agreed.

The organizer must provide accurate information needed to apply these requirements, give effect to valid customer notices and cooperate promptly with payment and refund handling through Quorin. The organizer must not instruct Quorin to collect an amount before collection is legally permitted or impose terms that reduce mandatory customer rights. Quorin's own obligations remain unaffected.

When the organizer or hosting studio cancels a session, the customer is refunded in full and Quorin reverses its fee and the tax on that fee proportionally; Stripe's processing fee is not returned. When a customer cancels, Quorin retains its fee where lawful and Stripe's processing fee is not returned; the organizer bears both, and the full refund is drawn from the organizer's Stripe balance. This allocation does not reduce the customer's promised or legally required refund, or any refund obligation arising from Quorin's own error or imposed on it by law.

Ticket payments go to the organizer's own Stripe account (for a studio organizer, its connected studio account). Stripe pays the available balance out to the organizer's bank on the automatic payout schedule that applies to that account; Quorin does not hold ticket funds or release them session by session. A refund issued after a payout is drawn from the organizer's Stripe balance. If that balance is not enough, it can become negative, and Stripe may recover a negative balance from the organizer. While Quorin has suspended an organizer account, Quorin may pause that account's payouts: the funds stay in the organizer's Stripe account, refunds owed to customers can still be paid from them, and automatic payouts resume when the suspension ends. Apart from that pause, this clause creates no authority to hold funds or establish a reserve. Payout availability remains subject to payment-provider requirements, applicable law and any restrictions authorized by the applicable payment agreement. A payout schedule does not authorize collecting a customer payment earlier than applicable law permits.

You warrant that you hold the rights to the text, images, and any other content you publish in a listing, and that your class description is accurate. If your class is held in a studio's room, you warrant that you hold a genuine booking of that room for the listed time. The studio hosting your room may unpublish your listing in its space at any time. Quorin may also unpublish a listing or suspend your organizer account for policy or legal reasons. Suspension stops new ticket sales; it does not remove your obligations for seats already sold.

These data-processing terms apply when Quorin handles personal information on behalf of a studio or individual organizer under the applicable service agreement. The relevant studio or organizer determines the purposes of its customer administration, subject to applicable law. Quorin processes that information to perform the agreed services and lawful documented instructions. Each party remains responsible for processing it carries out for its own purposes, including applicable account, security and legally required transaction records. The legal characterization of each role follows the applicable privacy law and actual processing activity.

You may use buyer data only to run the class it relates to. You must not resell buyer data or add buyers to a marketing list without their separate consent. The Data Processing Addendum, version 2026-09-14.v1, forms part of these terms for processing on your behalf, including when you are an individual organizer.

You must not use Quorin's public classes features to violate law, infringe rights, publish false or misleading class information, interfere with the service, attempt unauthorized access, bypass usage or security controls, or upload harmful code or content.

Quorin may modify, suspend, or discontinue public classes features as the product evolves. Quorin will use reasonable efforts to operate the service reliably, but uninterrupted availability is not guaranteed.

Quorin is provided on an "as is" and "as available" basis to the extent permitted by law. Quorin does not provide legal, tax, accounting, insurance, or professional advice. You should obtain your own advice about your tax status, your obligations to buyers, and your right to use the room or content in your listing.

To the extent permitted by law, Quorin is not liable for indirect, incidental, special, consequential, punitive or lost-profit damages. This limitation does not exclude or limit Quorin's own duties or liability where applicable law prohibits doing so, and does not deprive any person of a mandatory remedy. The organizer remains responsible for its own offerings, content and conduct. Quorin remains responsible for its own services, representations and conduct, subject to the lawful limitation above. A dispute involving an organizer, customer, host or payment is not excluded from Quorin's responsibility merely because it involves those parties or that subject matter.

These terms are governed by the laws of Quebec and the applicable federal laws of Canada. The courts located in Quebec, district of Montreal, will have jurisdiction unless applicable law requires another forum.

The choice of law and forum in this section does not displace mandatory laws or rights applicable to a transaction in Canada or the United States, or restrict access to a court or authority where that restriction is prohibited. Local provisions apply only where their legal conditions are met. Nothing in these terms makes one jurisdiction's cancellation or payment rules apply to every booking.

These terms are available in English and French. You accept them in the language you chose in Quorin; if you chose English, you expressly asked for these terms, and the contracts and documents that follow from them, to be in English. The French version is available at any time by switching Quorin to French.
