These terms apply to studios, studio owners, administrators, staff members, and other business users who create or manage a Quorin studio account. They do not replace the renter-facing booking terms, cancellation policies, room rules, or privacy notices that each studio is responsible for providing to its renters.

These terms apply to the services Quorin makes available in supported locations in Canada and the United States. Availability may differ by location and offering. Mandatory local provisions apply where their legal conditions are met and prevail over inconsistent terms. The supplier's address alone does not determine every law applicable to a transaction.

Quorin provides booking and operations software. The studio is the supplier of the room use and any services it offers in its own name. A separate organizer may be the supplier of a class held at the studio. Hosting that class does not, by itself, make the studio its supplier. The supplier's identity and the offering must be accurately disclosed before the customer commits to the transaction.

Quorin does not supply the studio's room or services merely by displaying an offering, communicating a booking or facilitating payment. The studio authorizes Quorin to transmit its booking information, confirmations and payment instructions through the enabled platform functions, within the studio's authority and the customer's authorization. This authority does not permit Quorin to change the studio's offering or waive anyone's mandatory rights. Quorin remains responsible for its own services, representations and duties under applicable law.

Quorin may generate renter terms from studio settings and content. The studio must review those terms before publication and keep its information accurate. A template, an available setting or publication through Quorin is not a determination that a policy is lawful. The studio's review does not transfer Quorin's own duties to the studio.

Studios must provide accurate business, legal, tax, payment, and contact information; keep administrator access secure; promptly update policy settings when the studio's rules change; and ensure staff use Quorin only for authorized studio purposes.

Studios are responsible for the legality, accuracy, and completeness of their room descriptions, rates, taxes, cancellation and modification policies, renter addenda, generated renter terms, communications, and instructions.

For its own offerings, the studio must identify and comply with the laws that apply to the transaction, including required disclosures, contract language and form, payment timing, cancellation, refunds, permits and taxes. Applicable law may depend on the offering, the parties and their locations, and how the contract is concluded; the studio's address alone does not determine every applicable rule. The studio must not use settings, addenda or payment instructions to reduce a customer's mandatory rights.

The studio must promptly inform Quorin of a material error in its published information or a request requiring action through the platform, and provide the information and lawful instructions reasonably needed to address it. Quorin and the studio must cooperate within their respective responsibilities to address payment errors, cancellation and refund requests, disputes and legally required records. Neither party may use this allocation to avoid a duty that applicable law places on it. The Privacy Policy and applicable data-processing terms govern personal information exchanged for these purposes.

Quorin may support studio subscription billing, platform fees, renter payments to studios, and Stripe Connect or similar payment flows. Fees, taxes, payout timing, refunds, chargebacks, and payment-provider requirements may depend on the studio's plan, payment setup, and connected account status.

The studio authorizes Quorin and the payment providers to process amounts properly owed for Quorin's services and to facilitate customer payments through the enabled payment functions. A studio instruction does not replace the customer's payment authorization or permit a charge prohibited by law. The studio is responsible for performing its supply contract and paying refunds it owes to its customers. Quorin remains responsible for obligations imposed on it by law and commitments it expressly makes. Section 5 governs enabled direct payments for room bookings; transactions for public-class tickets and passes are governed by the applicable Organizer Terms and Customer Terms.

This section applies where Quorin has enabled direct payments for a studio. It governs renter card payments taken through Quorin, and it prevails over section 4 for those payments.

Supplier and payment account. For a studio room booking processed as a direct payment, the studio supplies the booking and receives the payment through its connected payment account. It is responsible for delivery, refunds it owes and responding to disputes concerning its supply. Payment statements use the descriptor configured for the payment account, subject to the payment provider's and card issuer's formatting. This payment arrangement does not limit duties that applicable law imposes on Quorin or another party.

Fee schedule. For studios with separate Stripe fee billing enabled, Stripe supplies and bills card processing and dispute services directly to the studio, at the rates and tax treatment under its Stripe agreement. Quorin charges a commission of 7% on Starter, 2% on Growth and 0% on Scale, unless custom pricing applies. The commission is calculated on the booking subtotal before rental taxes, in the payment currency. Applicable GST/HST and QST on Quorin's commission are added to that commission and deducted together as the application fee. Quorin does not collect or re-invoice Stripe's processing fees in this setup. Quorin provides monthly fee statements showing amounts already deducted and their taxes; these are paid statements, not a second charge. The effective commission is shown in the studio's Quorin billing settings. Published rates may change on notice.

Transition for existing accounts. Separate Stripe fee billing begins only after the studio's connected account is migrated. Until then, existing direct accounts retain their existing combined deduction: the Quorin plan share on the booking subtotal plus processing recovery of 2.9% of the total card payment and 30¢ in the payment currency. Because those percentages apply to different amounts when rental taxes are charged, they must not be read as one percentage of the payment. This change does not retrospectively alter previously collected fees or authorize a historical tax backcharge.

Fees are not refundable. Quorin fees are charged on processing, not on outcomes. When a payment is refunded in whole or in part, the fee already charged on that payment is not returned to the studio. Cancelling, modifying, or refunding a booking does not reverse the fee charged on the original payment.

The allocation of fees between Quorin and the studio does not reduce a refund owed to a customer under applicable law or the customer's contract. A retained platform or processing fee is not automatically deductible from that refund. Any refund obligation arising from Quorin's own error or imposed on Quorin by law remains unaffected.

Payouts. The studio's balance is paid out automatically to the studio's bank account on a daily schedule, subject to the payment provider's standard settlement timing, identity and business verification requirements, and any hold applied for risk, compliance, or dispute reasons. Quorin may change a studio's payout schedule where risk, dispute activity, or provider requirements make it necessary.

Disputes and chargebacks. The studio is responsible for disputes and chargebacks on its payments, for submitting its response and for the outcome. Stripe debits disputed principal from the studio's connected account. With separate Stripe fee billing, Stripe also bills its dispute fees directly to the studio under its agreement; before account migration, Stripe continues billing those fees to Quorin under the legacy configuration. Quorin surfaces disputes and response tools in the studio's dashboard. Refundability of Stripe's own fees and any negative-balance arrangements are governed by the applicable Stripe agreement.

Saved payment methods. Saving a payment method does not by itself authorize every future charge. Before submitting a saved-card charge, the studio must have the customer's valid authorization covering the supplier, purpose, amount or method of calculation, and applicable timing. Charges must stay within that authorization and applicable law. The studio must honor withdrawal of authorization as required by law and the applicable payment terms. Withdrawal does not itself cancel a booking or extinguish an amount otherwise lawfully owed, and a booking cancellation does not authorize a new charge outside the agreed scope.

Quorin plan subscription fees are separate from the fees described in this section and are billed to the studio directly.

Quorin processes studio account data and renter booking data as described in the Privacy Policy and, where applicable, the Data Processing Addendum. Studios are responsible for giving renters appropriate notices and for choosing settings that match the studio's legal obligations.

The Data Processing Addendum, version 2026-09-14.v1, forms part of these terms for processing on the studio's behalf.

This transactional text messaging section applies to studios, studio owners, administrators, staff, invitees, renters, and other recipients who opt into Quorin transactional SMS/text messages. Quorin may send messages for verification codes, account access, booking confirmations, booking changes or cancellations, and booking reminders. Quorin does not use this text messaging program for its own marketing messages. A studio may add one short promotional line of its own to booking confirmations and reminders; that line is never sent on its own and never on a message about a payment, a refund or a charge, and any recipient can turn it off at any time from their Quorin account without affecting transactional messages. Message frequency varies based on account and booking activity.

Standard message and data rates may apply. For customer care, reply HELP to the number that sent the message or contact hello@quorin.studio. Reply STOP to opt out of SMS/text messages from that sender. Opting out may limit SMS-based account access, verification, booking confirmations, booking changes or cancellations, and reminders.

Carriers are not liable for delayed or undelivered messages.

Studios must not use Quorin to violate law, infringe rights, send abusive or unlawful communications, interfere with the service, attempt unauthorized access, bypass usage or security controls, or upload harmful code or content.

Quorin may modify, suspend, or discontinue features as the product evolves. Quorin will use reasonable efforts to operate the service reliably, but uninterrupted availability is not guaranteed.

Quorin and its licensors own the platform, software, design, documentation, and related technology. Studios retain responsibility for and rights to their own business content, subject to the rights needed for Quorin to operate, secure, support, and improve the service.

Quorin may suspend or restrict access if a studio fails to pay, creates security risk, violates these terms, or uses the service in a way that may harm Quorin, renters, other studios, or third-party providers. Either party may end use of the service according to the applicable plan or written agreement.

Suspension or termination of platform access does not itself cancel existing customer contracts or extinguish payment, refund, privacy or recordkeeping obligations. Each party must continue to perform the duties that remain its responsibility. Any action affecting an existing booking must be addressed under the applicable contract and law.

Quorin is provided on an "as is" and "as available" basis to the extent permitted by law. Quorin does not provide legal, tax, accounting, insurance, or professional advice. Studios should obtain their own advice before relying on policy templates, generated terms, or platform configuration for compliance.

To the extent permitted by law, Quorin is not liable for indirect, incidental, special, consequential, punitive or lost-profit damages. This limitation does not exclude or limit Quorin's own duties or liability where applicable law prohibits doing so, and does not deprive any person of a mandatory remedy. The studio remains responsible for its own offerings, content and conduct. Quorin remains responsible for its own services, representations and conduct, subject to the lawful limitation above. A dispute involving a studio, renter or payment is not excluded from Quorin's responsibility merely because it involves those parties or that subject matter.

These terms are governed by the laws of Quebec and the applicable federal laws of Canada. The courts located in Quebec, district of Montreal, will have jurisdiction unless applicable law requires another forum.

The choice of law and forum in this section does not displace mandatory laws or rights applicable to a transaction in Canada or the United States, or restrict access to a court or authority where that restriction is prohibited. Local provisions apply only where their legal conditions are met. Nothing in these terms makes one jurisdiction's cancellation or payment rules apply to every booking.

These terms are available in English and French. You accept them in the language you chose in Quorin; if you chose English, you expressly asked for these terms, and the contracts and documents that follow from them, to be in English. The French version is available at any time by switching Quorin to French.
